Terms of Service

Welcome to Staylio. These Terms of Service ("Terms") govern your access to and use of the Staylio corporate housing management platform and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By registering for, accessing, or using the Service, you agree to these Terms on behalf of yourself and the organization you represent ("your Organization"). You represent that you have the authority to bind your Organization to these Terms. If you do not agree to these Terms, you may not use the Service.

2. Description of Service

Staylio is a business-to-business (B2B) platform designed to facilitate corporate housing management, including but not limited to:

• Managing corporate accounts and tenant relationships
• Coordinating resident information and housing arrangements
• Vendor management and communications
• Document management and storage
• Prospect capture and conversion tracking
• User access management and role-based permissions

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

3. Account Registration and Security

3.1 Account Creation

• You must provide accurate, current, and complete information during registration
• Accounts are created and authenticated through Microsoft Azure AD/Entra ID
• You must be authorized by your Organization to create and use an account
• You must be at least 18 years of age to use the Service

3.2 Account Security

• You are responsible for maintaining the confidentiality of your account credentials
• You are responsible for all activities that occur under your account
• You must immediately notify us of any unauthorized access or security breach
• We are not liable for any loss or damage arising from your failure to protect your account

3.3 Account Types and Permissions

Different user roles (e.g., administrators, standard users) have different access levels and permissions. Your Organization's administrators control user access and permissions within your corporate account.

4. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Violate any applicable laws, regulations, or third-party rights
• Upload or transmit viruses, malware, or other malicious code
• Attempt to gain unauthorized access to the Service or related systems
• Interfere with or disrupt the Service or servers/networks connected to the Service
• Use automated tools to access the Service without our prior written consent
• Reverse engineer, decompile, or disassemble any aspect of the Service
• Remove, obscure, or alter any copyright, trademark, or proprietary rights notices
• Use the Service to harass, abuse, or harm another person or organization
• Impersonate any person or entity or misrepresent your affiliation
• Collect or store personal data about other users without their consent
• Use the Service for any competitive or commercial purposes without authorization

5. Data and Intellectual Property

5.1 Your Data

• You retain all rights to the data you upload, submit, or store through the Service ("Your Data")
• You grant us a limited license to use, process, and store Your Data solely to provide the Service
• You represent that you have all necessary rights and permissions to provide Your Data
• You are responsible for the accuracy, legality, and appropriateness of Your Data
• We may aggregate and anonymize data for analytics and service improvement purposes

5.2 Our Intellectual Property

• The Service, including all software, designs, text, graphics, and other content, is owned by Staylio and protected by intellectual property laws
• We grant you a limited, non-exclusive, non-transferable license to access and use the Service
• You may not copy, modify, distribute, sell, or create derivative works from the Service
• All trademarks, service marks, and logos are our property or our licensors' property

6. Payment and Billing

6.1 Fees

Some aspects of the Service may require payment of fees. By using paid features, you agree to pay all applicable fees as described at the time of purchase or in your subscription agreement.

6.2 Billing

• Fees are billed in advance on a subscription basis (e.g., monthly, annually)
• You authorize us to charge your designated payment method
• All fees are non-refundable unless otherwise specified in writing
• We reserve the right to change fees with reasonable notice

6.3 Taxes

You are responsible for all taxes associated with your use of the Service, excluding taxes based on our net income.

7. Term and Termination

7.1 Term

These Terms remain in effect while you use the Service.

7.2 Termination by You

You may terminate your account at any time by contacting us or using account closure features within the Service.

7.3 Termination by Us

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice, for any reason including:

• Breach of these Terms or our policies
• Non-payment of fees
• Fraudulent, illegal, or abusive conduct
• Extended period of inactivity

7.4 Effect of Termination

• Upon termination, your right to use the Service immediately ceases
• You remain liable for all fees and charges incurred prior to termination
• We may delete Your Data after termination, subject to our data retention policies
• Provisions that by their nature should survive termination will survive (e.g., liability limitations, dispute resolution)

8. Warranties and Disclaimers

8.1 Service Availability

We strive to provide reliable service, but we do not guarantee uninterrupted or error-free operation. The Service may be subject to limitations, delays, and other issues inherent in internet and electronic communications.

9. Limitation of Liability

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so some of the above limitations may not apply to you.

10. Indemnification

You agree to indemnify, defend, and hold harmless Staylio, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from or related to:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any rights of another person or entity
• Your Data or any content you submit through the Service

11. Third-Party Services

The Service integrates with third-party services and platforms, including:

• Microsoft Azure AD/Entra ID for authentication
• Supabase for database and backend services
• Azure Static Web Apps for hosting

Your use of these third-party services is subject to their respective terms and policies. We are not responsible for any third-party services, and their availability or functionality is not guaranteed.

12. Privacy and Data Protection

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our privacy practices as described in the Privacy Policy.

13. Confidentiality

Both parties may have access to confidential information. You agree to:

• Keep all confidential information strictly confidential
• Use confidential information only for the purpose of using the Service
• Not disclose confidential information to any third party without consent
• Protect confidential information with the same degree of care you use for your own confidential information

14. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

• Posting the updated Terms on the Service with a new "Last Updated" date
• Sending notice to your registered email address for significant changes

Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service and terminate your account.

15. Dispute Resolution

15.1 Informal Resolution

In the event of any dispute, claim, or controversy arising from or relating to these Terms or the Service, you agree to first contact us to attempt to resolve the dispute informally.

15.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Staylio is incorporated, without regard to its conflict of law provisions.

15.3 Arbitration

If informal resolution is unsuccessful, any dispute shall be resolved through binding arbitration in accordance with the commercial arbitration rules of the relevant jurisdiction, except as follows:

• Either party may seek injunctive or other equitable relief in court to protect intellectual property rights
• Either party may bring an action in small claims court for disputes within its jurisdiction

15.4 Class Action Waiver

You agree that disputes will be resolved on an individual basis. You waive any right to bring claims as a class action, consolidated action, or representative action.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy and any other policies incorporated by reference, constitute the entire agreement between you and Staylio regarding the Service.

16.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

16.3 Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

16.4 Assignment

You may not assign, transfer, or delegate these Terms or your rights and obligations without our prior written consent. We may assign these Terms without restriction.

16.5 Force Majeure

We shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including but not limited to acts of God, war, terrorism, natural disasters, labor disputes, or internet service failures.

16.6 Export Controls

You agree to comply with all applicable export and re-export control laws and regulations.

16.7 U.S. Government Users

If you are a U.S. Government entity, the Service is provided as "Commercial Computer Software" and "Commercial Computer Software Documentation" as those terms are used in applicable regulations.
